1. Acceptance of Terms
By accessing or using Roz (roz.nyx-intelligence.com), operated by Nyx Intelligence, the trading name of Arthur Dimeglio, a sole proprietor (entrepreneur individuel) registered in France ("Nyx Intelligence", "we"), you agree to be bound by these Terms of Service. If you do not agree, do not use Roz.
2. What Roz Is
Roz is an AI marketing agent that turns a short brief into finished social posts, schedules them across the channels you connect, and helps draft replies to your community.
- Generates captions, images, and short videos from your briefs and brand settings
- Schedules and publishes posts to the social accounts you connect, on your behalf
- Drafts replies to comments and direct messages you ask it to handle
- Reports back on how your published content performs
3. Accounts
You must create an account to use Roz. You are responsible for all activity under your account and for keeping your credentials secure. You must provide accurate information and be at least 16 years old.
4. Subscriptions & Billing
- Paid plans are billed in advance on a recurring basis (monthly or annual) via Stripe.
- Subscriptions renew automatically until cancelled. You can cancel at any time; access continues until the end of the current billing period.
- Except where required by law, fees already paid are non-refundable.
- We may change pricing with reasonable prior notice; changes apply to the next billing period.
5. Acceptable Use
You agree NOT to:
- Use Roz in violation of any applicable law or regulation
- Use Roz to plan, facilitate, or support any act of violence, harassment, or illegal activity
- Scrape, crawl, or automatically extract content beyond published API rate limits
- Attempt to reverse-engineer the agent or its underlying models and algorithms
- Redistribute, resell, or sublicense Roz outputs or data without written authorization
- Publish content you do not have the rights to, or that infringes intellectual property or a platform's rules
- Use Roz to send spam, deceptive, or unsolicited bulk messages
6. AI Outputs & No Professional Advice
Roz generates automated outputs that may contain errors, omissions, or delays. Outputs are provided for information only and are not professional advice.
Roz acts on the content and accounts you connect and authorize. You remain responsible for everything published or sent on your behalf, and you should review content before it goes live where your plan offers an approval step. Roz does not guarantee any particular reach, engagement, or marketing outcome.
7. Third-Party Platforms
Roz connects to third-party social networks and a publishing provider (Late / Zernio) using credentials or tokens you authorize. Your use of those networks is governed by their own terms, and they may change their APIs or revoke access at any time. We are not responsible for the availability, accuracy, or actions of third-party platforms.
8. Intellectual Property
All proprietary content, including Roz, its prompts, models, UI design, and visualizations, is owned by Nyx Intelligence. Content you provide or connect remains yours; you grant us a limited licence to process it solely to operate the service for you. Outputs generated for you are yours to use, subject to these Terms and any third-party platform rules.
9. Privacy
Your use of Roz is also governed by our Privacy Policy.
10. Disclaimer of Warranties
Roz is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation.
11. Limitation of Liability
To the maximum extent permitted by law, Nyx Intelligence shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Roz, including loss of profits, data, or business opportunities. Our total aggregate liability shall not exceed the amount you paid us in the twelve months preceding the claim.
12. Termination
You may stop using Roz and close your account at any time. We may suspend or terminate access for breach of these Terms or to comply with the law. On termination, your data is handled as described in the Privacy Policy.
13. Governing Law
These Terms are governed by French law. Any dispute relating to them shall be submitted to the competent French courts, without prejudice to mandatory consumer-protection rules of your country of residence.
14. Changes to Terms
We reserve the right to modify these Terms. Material changes will be notified in-app or by email; continued use after changes constitutes acceptance of the modified Terms.
